Appointment of Directors
Armor Designs, Inc., (“ADI”, or the Company”), the developer of next-generation composite armour, is pleased to announce the appointment of Nic Smith and John Cronin as Non-Executive Directors with immediate effect. Mr Smith was also appointed as Chairman of the Audit Committee with immediate effect.
Nic Smith has over 30 years of investment and accounting experience. Mr Smith trained as an accountant with Ernst and Young. He joined the Jardine Fleming Group in Hong Kong in 1986 serving, at various times, as co- head of Investment Banking, finance director and member of the executive committee. He became a director of Robert Fleming International in 1998 and director of Origination, Investment Banking. His responsibilities combined the strategic direction of the international M&A business and fee generation in relation to European multinational corporations. He currently serves as senior independent director of Ophir Energy plc, for whom he is Chairman of the nomination and audit committees and non executive director of Asian Citrus Holdings Ltd, for whom he is Chairman of the remuneration committee, and PLUS Markets Group plc, for whom he is Chairman of the audit committee. He is also a director of Plus Markets plc, The Ernshaw Partnership Limited, Totally Independent Directors Limited, 4C Associates Limited, 9 Flies Limited and Sorbic International Plc. He was also until recently non executive Director of Imprint plc until its acquisition by Premier UK.
John Cronin spent over 17 years at IBM and became its top inventor with over 100 patents and 150 patent publications. He created and ran the IBM Patent factory which was essential to helping IBM become number one in US patents and the team contributed to start of and success of IBM successful licensing program. Mr Cronin has created both a unique ipCapital System® methodology for consulting as well as a world class licensing and transaction process. ipCapital Group represents the largest IP strategy consulting team in the world. John and his team have served over 500 clients since 1998, including over 10% of the Fortune 500 clients and over 130 start-up companies. IpCapital recently completed an independent valuation report on Armor Designs Inc. John holds a BSEE and MSEE, and a BA degree in Psychology from the University of Vermont.
Welcoming the two non-executive appointments, James St Ville, Chairman of Armor Designs Inc, said: “I am delighted that Nic and John have agreed to join the board. They will add strength and depth to our team at an important time in the company’s development.”

Armor Designs, Inc. ("ADI") is a knowledge-based company specialising in next-generation composite material design, manufacture, prototyping and testing for applications and products for the armour industry. ADI uses a proprietary design and manufacturing process called VCM to rapidly develop new composite armour products of superior ballistic, weight and flexibility. The VCM process is protected by patents and trade secrets licensed to ADI in perpetuity for use in field of armour.
